Articles
of Organization
Article 1
The name of the Corporation
shall be: Snyder County Tractor Pullers Association, Inc.
Article 2
The
Post Office address for the Corporation shall be:
P.O.
Box 103 Selinsgrove, Pa 17870
Article 3
The business and
purpose of this Corporation is to enter, sponsor, promote, and organize the
recreational activity of Tractor and Truck pulling; make rules for competition
and safety.
Article 4
No part of the net
earnings of the organization shall endure to benefit of, or be distributable to
its members, officers or other private persons, except to make payment and
distributions in furtherance of its stated purposes.
Article 5
Upon dissolution of the
organization, the Board of Directors shall after paying or making provisions for
the payment of all liabilities of the organization, dispose of all assets of the
organization exclusively for the purpose of the organization in such a manner or
to such organizations organized and operated exclusively for the sole purpose of
promoting the sport of Tractor and Truck Pulling.
If an individual should donate an item or article to the club, that item
or article cannot be sold upon dissolution, but must be donated to the
Middlecreek Valley Antique Association.
Article 6
The Corporation
reserves the right to buy, sell, hold, and manage real and personal property and
to engage in any lawful activities in the furtherance of its goals and purpose.
The Board of Directors,
consisting of the elected officers and three elected members, have been
delegated the authority to conduct all official business of the organization.
The President has the right to call a special meeting to conduct official
business of the organization. Officers and Directors will serve a one year term
beginning November 1 and Ending October 31.
Article 8
All By-Laws of the
Corporation may be implemented, modified, or repealed, and new by-laws may be
passes by two-thirds majority vote of the voting members in good standing at a
special meeting of the members called for such purpose or at any meeting with
prior notice. By-Law change must be
read and passed by two meetings before going into effect.
Article 9
Membership
a.
Eligibility for membership is unrestricted.
b.
The rights, privileges, and interests of each
member shall be equal.
c.
A member in good standing is one whose dues are
current and attends 2/3 of the meetings for that year.
d.
The period of membership shall be for one year,
beginning on January 1 and ending on December 31. Such member shall be a member
until the end of that membership period.
e.
Membership shall be for individuals only.
Company names or family group names are not acceptable.
f.
Any member may have their membership revoked if
that member is found to be detrimental to the purpose of the club and be voted
on and passed to 2/3 vote at a meeting.
